The supply includes only those goods and services expressly specified in the Seller’s order confirmation and is governed by these General Terms and Conditions, unless otherwise expressly agreed in writing. Any amendments or communications made during the execution of the supply shall not invalidate the contract. The agreed delivery times are indicative only and shall not be considered binding. The Seller may suspend the execution of the supply at any time in the event of a change in the Customer’s financial circumstances, pursuant to Article 1461 of the Italian Civil Code.

Prices are quoted Ex Works (EXW) at the Seller’s premises. They do not include services or charges not expressly specified. Packaging is included in the price unless otherwise agreed in writing.

The prices stated in the contract have been calculated on the basis of the material and labour costs applicable on the date of the contract, in accordance with the relevant ANIE price schedules. Any increases or decreases in such costs occurring during the execution of the sale shall be calculated in accordance with the price adjustment clauses applicable to lighting fixtures as published by ANIE.

Only payments made directly to our registered office or to persons expressly authorised by us shall be recognised as valid.

The Seller retains ownership of the goods until full payment has been received. However, all risks relating to the goods shall pass to the Buyer upon delivery. Any act by the Customer which, without the Seller’s prior written consent, prejudices the Seller’s right to recover or reclaim the goods shall be subject to the remedies and penalties provided by law.

The stated delivery time is not binding on the Seller, who shall not be liable for any compensation in respect of direct or indirect damages resulting from delays in delivery or from the partial or total interruption or cancellation of the supply. The delivery period shall commence on the date of the order confirmation and, in any event, not before receipt of any advance payment agreed upon at the time of the order. The delivery period shall automatically be extended if payments are not made on time, if the Customer fails to provide in due time the information or materials required under the contract, or if circumstances beyond the Seller’s control arise, including delays caused by subcontractors or suppliers.

Goods may only be returned with the Seller’s prior authorisation and shall be subject to a minimum depreciation charge of 30%.

The goods are transported at the Customer’s risk, including any damage occurring during transport, even where shipment is made carriage paid. No claims will be accepted more than 8 days after receipt of the goods. Orders will be fulfilled subject to product availability, and deliveries may be made in partial shipments.

Unless otherwise expressly agreed in writing, the supplied products comply with the applicable standards issued by the CEI – Italian Electrotechnical Committee. The Seller reserves the right to make, at any time, any modifications to its products that it considers technically appropriate. All drawings produced by the Seller remain its exclusive property and may not be disclosed to third parties or reproduced by the Customer without the Seller’s prior written authorisation.

Ideallux warrants its products for 24 months from the date of manufacture indicated on the product. The warranty covers all manufacturing defects, whether mechanical or electronic in nature. The warranty does not cover damage caused by improper handling and/or incorrect use that does not comply with the instructions for use. The warranty shall be void if the products are tampered with and/or modified. The defective product for which warranty service is requested may, at Ideallux’s sole discretion, be repaired or replaced with a new or refurbished equivalent product. Products bearing the “5 Years Warranty” mark are covered by a 5-year warranty, based on use of 14 hours per day, 365 days per year, in accordance with the product lifetime specified in the product data sheet. Warranty claims submitted within 5 years from the date of manufacture (excluding those covered by the statutory warranty periods referred to above) shall be subject to Ideallux’s approval. Failures falling within the declared normal defect tolerance, and in any case affecting no more than 5% of the total installed products, are not covered by the 5-year warranty. The General Warranty Terms and Conditions are available and may be requested from Ideallux.

All contracts, including those entered into with foreign nationals or relating to products supplied abroad, shall be governed by the laws of Italy. The Court having jurisdiction over the registered office of the Seller shall have exclusive jurisdiction, notwithstanding Articles 32 et seq. of the Italian Code of Civil Procedure. The Customer shall not be entitled to bring proceedings before any other judicial authority, including by way of warranty or connected claims. The Seller, however, reserves the right, acting as claimant, to bring proceedings before the court having jurisdiction over the Customer’s place of residence or registered office, whether in Italy or abroad. Any dispute or claim shall not release the Customer from complying with the agreed payment terms and shall not result in any extension of the agreed deadlines. Any contract-related costs, registration fees and, where applicable, transcription costs shall be borne by the Customer.
